Advertising Acknowledgement and Agreement
*
“Sell My Business Now” and “SMBN” means The Redshift Consultancy Pty Ltd as trustee for The Redshift Consultancy Trust Trading As Sell My Business Now – Aldridge. The client shall be invoiced by The Redshift Consultancy Pty Ltd as trustee for The Redshift Consultancy Trust.
The Client has requested that SMBN provide the Client with a limited advertising service (the “Consultancy Services”) for the Fees. The Client acknowledges and agrees that:
• SMBN is not providing a business broking service to the Client as the client has not engaged SMBN for brokerage, and the Client is solely responsible for negotiating the sale of their Business;
• SMBN is providing the Consultancy Services only on a fee-for-service basis for the fees agreed in writing with the Client which represent fees for advertising services rendered and SMBN does not provide advice to the Client;
• SMBN does not provide legal, valuation, accounting, financial or taxation advice and has advised the Client to seek independent advice in those areas;
• Fees once paid are non-refundable;
• If the Client provides SMBN with bank or credit card details for direct debit of Fees, the Client authorises SMBN to charge the Client’s bank or credit card by direct debit or authorisation and acknowledges that transaction and establishment fees may apply as disclosed in the direct debit form;
• The Client will review or has reviewed the online advertisement prepared by SMBN on the instructions of the Client (or otherwise prepared by the Client in any way) and is satisfied and warrants (or will ensure they are satisfied and shall warrant at the relevant time) that the information presented is entirely true and correct and the Client is solely responsible for all representations made and information contained within or associated with that documentation and authorises SMBN to advertise the Business for sale on online advertising platforms;
• If your business is a small business that requires a Section 52 statement pursuant to the Estate Agents Act 1980 (Vic) you acknowledge and agree that you are solely responsible for providing the required statement to prospective Buyers of your business, as we are not acting to negotiate or broker the sale of your business and are not engaged as Estate Agent / Business Broker for the sale of your business;
• SMBN reserves the right in SMBN’s sole and absolute discretion to cease providing the Consultancy Services;
• In consideration for SMBN agreeing to provide the Consultancy Services, the Client in their personal capacity indemnifies and shall keep SMBN and its directors, authorised representatives, partners, employees, associates, conjunctional agents and contractors indemnified from and against all actions, claims, demands, liabilities, losses, damages, costs (including legal costs on a full indemnity basis) and expenses of whatever nature (either actual or contingent) which SMBN and/or its directors, authorised representatives, partners, employees, associates, conjunctional agents and contractors may suffer, incur or sustain in connection with or arising in any way whatsoever with the Consultancy Services or the sale or proposed sale of the Business.
• The Client warrants to SMBN that they are authorised to act on behalf of the Business and are an authorised representative of the Business and owner/s of the Business.
• This Acknowledgement and Agreement may be executed by any and all parties by way of electronic signature, including by electronic or electronic and mechanical means, and may be delivered electronically. The parties agree that such electronic execution and electronic delivery must have the same force and effect as delivery of an original document with original signatures, and that each party may use such electronic signatures as evidence of execution and delivery of this Acknowledgement and Agreement by all parties to the same extent that an original signature could be used.
